Agreement to Terms

5. Fees and Payment

Fees for our professional services are specified in individual service agreements. All fees are quoted in U.S. Dollars unless otherwise stated.

5.2 Payment Terms

• Payment is due according to the terms specified in your service agreement
• Late payments may incur interest charges at the rate of 1.5% per month or the maximum allowed by law
• We may suspend services for accounts with overdue balances
• You are responsible for all taxes, duties, and fees associated with your purchase

5.3 Refunds

Refund policies are specified in individual service agreements. Generally, fees paid for completed work are non-refundable.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and design elements, are owned by ALINA AYYAN INC and protected by United States and international intellectual property laws.

6.2 Client Materials

You retain ownership of any materials, data, or content you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering our Services.

6.3 Work Product

Ownership of work product and deliverables created under service agreements will be specified in those agreements. Unless otherwise stated, we retain ownership of our methodologies, tools, and pre-existing intellectual property.

"Ayyan Rise" and associated logos are trademarks of ALINA AYYAN INC. You may not use our trademarks without our prior written consent.

7. Confidentiality

7.1 Confidential Information

Both parties may have access to confidential information during the course of our business relationship. Confidential information includes:

• Business strategies, plans, and financial information
• Technical data, designs, and specifications
• Customer lists and proprietary processes
• Any information marked as confidential or that should reasonably be considered confidential

7.2 Obligations

Each party agrees to:

• Maintain confidentiality of the other party's confidential information

• Protect confidential information with the same care used for its own confidential information
• Not disclose confidential information to third parties without consent

8. Warranties and Disclaimers

We warrant that our professional services will be performed in a professional and workmanlike manner consistent with industry standards.

8.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties that services will be uninterrupted or error-free

9. Limitation of Liability

9.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ALINA AYYAN INC BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of substitute services or procurement
• Any damages arising from use or inability to use our Services

9.2 Cap on Liability

Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim, or $1,000, whichever is greater.

9.3 Exceptions

These limitations do not apply to liability for gross negligence, willful misconduct, fraud, or violations of law that cannot be limited by contract.

10. Indemnification

You agree to indemnify, defend, and hold harmless ALINA AYYAN INC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your use or misuse of our Services
• Your violation of any third-party rights
• Any content or materials you provide to us
• Your negligence or willful misconduct

11. Term and Termination

11.1 Term

These Terms remain in effect while you use our Services or maintain an account with us.

11.2 Termination by You

You may terminate your account at any time by contacting us at contact@ayyanrise.lol. You remain responsible for all fees incurred prior to termination.

11.3 Termination by Us

We may terminate or suspend your access immediately, without notice, for:

• Non-payment of fees
• Fraudulent or illegal activity
• Any reason at our sole discretion

11.4 Effect of Termination

Upon termination:

• Your right to use our Services immediately ceases
• We may delete your account and data
• Provisions that by their nature should survive will remain in effect

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of California and the United States, without regard to conflict of law principles.

12.2 Jurisdiction and Venue

Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Alameda County, California. You consent to the personal jurisdiction of these courts.

12.3 Arbitration

For disputes involving claims under $25,000, the parties agree to resolve disputes through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Leandro, California.

12.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and ALINA AYYAN INC regarding our Services.

13.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms.

13.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13.4 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country.

The relationship between you and ALINA AYYAN INC is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
